Booking Ready Terms of Use

1. Booking Ready

Booking Ready is a reservation and customer-management platform used to facilitate reservations and related interactions between customers and RedFin Charters.

Booking Ready may provide functionality that allows users to:

• view available services;
• view pricing and availability;
• submit reservation information;
• complete reservations;
• make payments;
• manage existing reservations;
• communicate with RedFin Charters;
• receive reservation-related communications; and
• use other reservation and customer-service features.

Booking Ready provides technology supporting these activities. The underlying charter, trip, event, or other purchased service is provided by RedFin Charters or the applicable service provider and is subject to separate terms applicable to that service.

2. Eligibility and Authority

You may use Booking Ready only for lawful purposes.

If you use Booking Ready to make a reservation for another person, group, company, or organization, you represent that you have authority to provide the information submitted and to act in connection with the reservation.

3. Information You Provide

You agree to provide reasonably accurate and complete information when using Booking Ready.

If you provide information concerning another individual, you represent that you have authority or permission to provide that information for purposes associated with the applicable reservation.

Our collection and handling of personal information is described in our Privacy Policy.

4. Inquiries and Customer Records

Using web chat, sending a message, requesting information, or otherwise communicating through Booking Ready does not by itself create a reservation or make you a stored Booking Ready customer.

If you do not complete a reservation, Booking Ready does not intentionally maintain your information as a RedFin Charters customer record, subject to temporary or technical processing that may be necessary to provide communications, maintain security, troubleshoot systems, prevent fraud or abuse, or comply with law.

If you complete a reservation, Booking Ready may create and maintain a customer and reservation record as described in our Privacy Policy.

5. Reservations

Booking Ready facilitates the reservation process.

Viewing availability, discussing a reservation through web chat, receiving a quote or estimate, or entering information into Booking Ready does not by itself create a confirmed reservation.

A reservation is confirmed only when the applicable booking process has been completed and confirmation has been issued through Booking Ready or otherwise expressly provided by the applicable service provider.

The actual service purchased through Booking Ready is subject to the terms and policies applicable to that reservation.

6. Pricing and Availability Information

Booking Ready is designed to provide current pricing, availability, service descriptions, and other reservation information.

However, software, configuration, synchronization, data-entry, integration, display, calculation, or other errors may occasionally cause incorrect information to appear.

Booking Ready and RedFin Charters reserve the right to correct errors in displayed pricing, availability, descriptions, calculations, fees, or other information.

To the extent permitted by applicable law, an obvious or material software or pricing error does not require Booking Ready or the applicable service provider to honor erroneous information.

If a material error affects a reservation before the service is provided, the customer may be notified and given an appropriate opportunity to accept the corrected information or cancel the affected transaction and receive a refund of amounts paid for the affected service, where applicable.

7. Payments

Booking Ready may provide functionality that allows customers to submit payments relating to reservations.

Payments may be processed through independent third-party payment processors.

By submitting a payment method, you represent that you are authorized to use that payment method and authorize the charges displayed or otherwise agreed to as part of the transaction.

Booking Ready is not responsible for delays, declines, errors, outages, or other problems caused by a customer's financial institution, card issuer, payment network, or independent payment processor except to the extent required by applicable law.

8. Web Chat and Messaging

Booking Ready may provide web chat, text messaging, automated messaging, or other communication functionality.

Use of these features is subject to our Web Chat & Messaging Policy.

Initiating a conversation allows RedFin Charters to respond to the inquiry but does not automatically constitute permission to send unrelated targeted advertising.

Web chat and messaging are provided as communication tools and do not independently create or modify a reservation unless the applicable change is confirmed through Booking Ready or by an authorized representative.

9. Artificial Intelligence and Automation

Booking Ready may use artificial intelligence, automation, or similar technologies to assist with customer inquiries, reservations, communications, internal workflows, or other platform functionality.

Automated or AI-generated information may occasionally be incomplete, inaccurate, or outdated.

AI or automated responses should not be considered final confirmation of material information such as:

• availability;
• final pricing;
• reservation status;
• cancellations;
• refunds; or
• material changes to a reservation.

Such matters are subject to confirmation through Booking Ready or by an authorized representative.

Booking Ready may modify, restrict, discontinue, or require human review of automated functionality at any time.

10. Accounts and Security

If Booking Ready provides account functionality, you are responsible for maintaining the confidentiality of your account credentials.

You are responsible for activity conducted through your account unless caused by circumstances for which applicable law provides otherwise.

You may not access another person's account without authorization.

You should promptly notify us if you believe an account or credential has been compromised.

11. Acceptable Use

You may not use Booking Ready to:

• violate applicable law;
• engage in fraud or deceptive activity;
• impersonate another person or organization;
• provide intentionally false or fraudulent reservation information;
• interfere with the operation of Booking Ready;
• attempt unauthorized access to systems or accounts;
• circumvent authentication, security measures, or rate limits;
• introduce malware or harmful code;
• conduct unauthorized vulnerability testing;
• scrape or systematically extract information through unauthorized automated means;
• use bots or automated systems in a manner that interferes with the Services;
• abuse reservation, messaging, payment, or web chat functionality;
• reverse engineer or attempt to derive non-public components of Booking Ready except where permitted by applicable law; or
• otherwise use the Services in a manner that harms Booking Ready, RedFin Charters, other users, or third parties.

Booking Ready may restrict or terminate access when reasonably necessary to address fraud, abuse, security concerns, violations of these Terms, or threats to the Services or other users.

12. Intellectual Property

Booking Ready and its applicable licensors retain all rights, title, and interest in the software, interfaces, workflows, databases, designs, code, algorithms, systems, documentation, and other proprietary technology used to provide Booking Ready.

Use of Booking Ready gives you a limited right to access applicable functionality for its intended purpose.

It does not transfer ownership of Booking Ready technology or intellectual property.

Except where permitted by applicable law, you may not:

• copy or commercially reproduce Booking Ready technology;
• modify or create derivative works from Booking Ready;
• reverse engineer, decompile, or disassemble Booking Ready;
• attempt to obtain source code, non-public APIs, algorithms, system prompts, or security mechanisms;
• remove proprietary notices; or
• use Booking Ready technology to create a competing or derivative platform.

13. Feedback

If you voluntarily provide suggestions, ideas, recommendations, or feedback concerning Booking Ready, Booking Ready may use that feedback to evaluate, develop, and improve the platform without obligation to compensate you.

This provision does not transfer ownership of customer photographs, communications, or other personal content to Booking Ready.

14. Privacy and Data

Use of Booking Ready is subject to our Privacy Policy.

A person who merely communicates through Booking Ready does not become a stored customer unless that person completes a reservation.

Booking Ready does not sell customer contact information.

Information provided through web chat or text-message communications is not treated merely because of that communication as permission to send targeted advertising.

Google Analytics may collect website and technical usage information separately as described in the Privacy Policy.

15. Third-Party Services

Booking Ready may rely upon or integrate with third-party services, including:

• hosting and cloud services;
• payment processors;
• communications providers;
• email and text-message providers;
• Google Analytics;
• artificial intelligence providers;
• security services; and
• other technology providers.

Third-party services may be subject to their own terms and privacy policies.

Booking Ready does not control and, to the extent permitted by applicable law, is not responsible for the independent acts, omissions, outages, security practices, or performance of third-party services.

16. Service Availability and Changes

Booking Ready is provided on an “as available” basis.

We do not guarantee that Booking Ready, web chat, messaging, payment functionality, or any other feature will be continuously available or uninterrupted.

The Services may occasionally be unavailable because of maintenance, software errors, third-party outages, telecommunications failures, security incidents, or circumstances beyond our reasonable control.

Booking Ready may add, modify, replace, limit, suspend, or discontinue features from time to time.

17. Errors and Corrections

Booking Ready may correct errors, inaccuracies, or omissions appearing within the Services. This includes errors involving:

• pricing;
• availability;
• calculations;
• service descriptions;
• dates or times;
• reservation information;
• automated responses; and
• other displayed information.

Corrections may be made after information has initially been displayed or communicated.

Any effect of a correction on a completed reservation will be handled in accordance with applicable law and the terms governing that reservation.

18. No Guarantee of Data or Message Delivery

Booking Ready uses electronic systems and third-party networks to process reservations and communications.

We do not guarantee that every message, notification, email, text message, payment notification, or other electronic communication will be delivered, received, or processed without delay.

Users are responsible for reviewing reservation confirmations and contacting the applicable service provider if important information appears incorrect or has not been received.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOOKING READY AND ITS ONLINE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

BOOKING READY DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, COMPLETE, ACCURATE, OR ERROR-FREE.

BOOKING READY DOES NOT WARRANT THAT AUTOMATED OR AI-GENERATED OUTPUT WILL ALWAYS BE ACCURATE OR APPROPRIATE.

NO INFORMATION OBTAINED THROUGH BOOKING READY CREATES A WARRANTY THAT IS NOT EXPRESSLY PROVIDED IN THESE TERMS OR IN THE TERMS APPLICABLE TO A CONFIRMED TRANSACTION.

NOTHING IN THESE TERMS EXCLUDES RIGHTS OR WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOOKING READY, REDFIN CHARTERS, AND THEIR RESPECTIVE OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO USE OF OR INABILITY TO USE BOOKING READY.

THIS INCLUDES, TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAMAGES ARISING FROM SOFTWARE ERRORS, WEBSITE OUTAGES, COMMUNICATION FAILURES, INCORRECT AUTOMATED OUTPUT, THIRD-PARTY SERVICE FAILURES, UNAUTHORIZED ACCESS NOT CAUSED BY OUR FAILURE TO USE LEGALLY REQUIRED CARE, OR LOSS OF DATA.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY ARISING FROM USE OF BOOKING READY IN CONNECTION WITH A PARTICULAR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID THROUGH BOOKING READY FOR THE TRANSACTION GIVING RISE TO THE CLAIM.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

21. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Booking Ready, RedFin Charters, and their respective owners, officers, employees, contractors, service providers, and agents from third-party claims, liabilities, damages, costs, and reasonable attorneys' fees arising from:

• your unlawful or unauthorized use of Booking Ready;
• your material violation of these Terms;
• fraudulent or intentionally wrongful information or content you submit; or
• your infringement of another person's intellectual-property, privacy, or other legal rights.

This provision does not require indemnification for liability to the extent caused by a protected party's own negligence, gross negligence, willful misconduct, or other conduct for which indemnification cannot lawfully be required.

22. Suspension or Termination

Booking Ready may restrict, suspend, or terminate access to some or all of the Services where reasonably necessary because of:

• fraud or suspected fraud;
• security concerns;
• unauthorized access;
• abusive activity;
• violation of these Terms;
• violation of the Web Chat & Messaging Policy;
• threats to the Services or other users; or
• legal or regulatory requirements.

Suspension of Booking Ready does not independently cancel or modify an existing reservation.

Questions concerning an existing reservation should be directed to the applicable service provider.

23. Governing Law and Venue

These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles, except where federal or other applicable law controls.

To the extent permitted by applicable law, judicial proceedings arising specifically from use of Booking Ready or these Terms will be brought in a court of competent jurisdiction located in Charleston County, South Carolina.

24. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be limited or modified to the minimum extent necessary and the remaining provisions will remain in effect.

25. No Waiver

Failure to enforce a provision of these Terms does not waive the right to enforce that provision or another provision later.

26. Assignment

Booking Ready may assign or transfer its applicable rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, change of control, or transfer of the Booking Ready business or technology, subject to applicable law.

Users may not assign their rights under these Terms without prior written consent.

27. Changes to These Terms

Booking Ready may update these Terms periodically to reflect changes in the Services, technology, business practices, or legal requirements.

The effective date at the top identifies the current version.

Continued use of Booking Ready after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

Changes to these general Terms do not independently modify the separate terms of a previously confirmed reservation.

28. Relationship to Other Policies and Reservation Terms

These Terms govern use of Booking Ready.

Our Privacy Policy governs the collection and handling of personal information.

Our Web Chat & Messaging Policy governs use of communications functionality.

The actual charter, trip, event, tour, or other service purchased through Booking Ready is governed by the terms, cancellation policies, waivers, trip-protection provisions, and other conditions applicable to that reservation.

If there is a conflict concerning the actual purchased service, the specific terms applicable to that reservation control with respect to the service itself.
